By accessing our platform, creating an account, or utilizing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

The Company shall not be liable for any delays in service delivery.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any guarantee regarding the accuracy, completeness, or reliability of information obtained
• Any assurance that the services will be uninterrupted, timely, secure, or error-free

Verification reports are based on publicly available information and data sources accessible at the time of verification. The Company does not guarantee the accuracy or completeness of such information.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any information or content you provide to us.

10. Intellectual Property Rights

All content, features, and functionality of the platform, including but not limited to text, graphics, logos, icons, images, software, and their compilation, are the exclusive property of PartnerLens and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the services for their intended purpose only.

11. Confidentiality

All verification reports and related communications are confidential and intended solely for the Client who commissioned the service. You agree not to disclose, distribute, or share any reports or information obtained through our services with any third party without the express written consent of the Company, except as required by law or legal process.

12. Termination

The Company reserves the right to suspend or terminate your access to the services at any time, with or without cause, and with or without notice, for any reason including but not limited to violation of these Terms, fraudulent activity, or failure to pay applicable fees. Upon termination, all rights granted to you under these Terms shall immediately cease.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the courts located in Kalyan, Maharashtra, India.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.

15. Modifications to Terms

The Company reserves the right to modify or replace these Terms at any time at its sole discretion. Material changes will be notified through the platform or via email. Your continued use of the services following the posting of revised Terms constitutes your acceptance of such changes.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed from these Terms.
